International trade depends on certainty in the allocation of obligations and risk. In this article, our Senior Associate, Kholoud Hafez, and Associate, Wagdy Ismail, analyse a landmark UAE Court of Cassation judgment successfully obtained by our firm, in which the Court overturned the appellate decision and reaffirmed the fundamental principles governing CIF contracts and documentary sales under UAE law. The article examines the transfer of risk upon shipment, the seller’s entitlement to payment upon compliance with its documentary obligations, and the limits of relying on commercial custom to override the statutory allocation of risk. Importantly, the Court confirmed that a seller under a CIF contract is not required to prove the subsequent fate of the goods after shipment, reaffirming that any loss occurring during transit falls within the buyer’s sphere of risk and recourse. The judgment provides important guidance for businesses engaged in cross-border trade and reinforces the legal certainty underpinning documentary sales and international commerce.
