On Thursday, a sharply divided court rejected the efforts of investors to sue an investment company to rescind a contract that appears to violate the Investment Company Act of 1940, concluding that only the SEC may bring suit to enforce the statute.

The third and final decision of the morning is in Abouammo v. US, on where an alleged violation of a law that makes it a crime to knowingly falsify a document with the intent to obstruct a federal investigation should be tried.

A unanimous court holds that the trial should be held in the district where the falsification occurred; it cannot be held where the investigation was located if that was a different district.
The second opinion is in FS Credit Opportunities v. Saba Capital. By a vote of 6-3, the court holds that the Investment Company Act does not impliedly empower private parties to sue for rescission of contracts that allegedly violate the act.
