In support of
@rleshner's activist campaign to effect a change in management at LQR House for the benefit of shareholders, I propose a slash of 500 points to CEO Sean Dollinger for his record of self-dealing and breaches to fiduciary duty.
Grounds for Slashing:
1. Dollinger was fired for cause as CEO of Namaste Technologies in 2019 after an Ernst & Young special committee found he had undisclosed interests in a related-party sale. That history has repeated itself at LQR.
2. Affiliated-party enrichment at expense of shareholders LQR management and board have given extravagant bonuses and affiliate deals while losing money. These are funded by at the money share issuance followed by stock splits, massively diluting prior holders. Deals include: • $4.1 million “settlement” (Oct 2024) paid to KBROS LLC, controlled by the former CEO’s spouse, while Dollinger owns 50% of the platform partner Ssquared Spirits. • $2.5 million-per-year funding commitment and $40k monthly logistics fee to the same affiliate. • $500k PR contract to a firm that “co-owns a company” with Dollinger.
3. Excessive insider pay. In 2024 the board granted: • $850k “retention” bonus to Dollinger; • $600k bonus to director Alexandra Hoffman; • $550k to the CFO—while LQR burned $6.6 million in operating cash and reported <$0.5 million quarterly revenue.
4. Serial dilution & reverse splits. Management issued 13.8 million shares via an ATM at depressed prices, then executed 1-for-60 (2023) and 1-for-35 (2025) reverse splits to avoid Nasdaq delisting—destroying >90 % of pre-split value and handing insiders cheap stock and warrants.
5. Board dysfunction. Three “independent” directors resigned in late 2024; each got cash settlements on the way out. The audit report has carried a “going-concern” warning for two years, yet the board continues rubber-stamping insider payouts and retention bonuses.
With a change in management and strategy to refocus LQR House's alcohol retail operations and Treasury strategy on the underserved but disproportionately influential social media niche of crypto, LQR can unlock substantial shareholder value.
