My University's website is highlighting under "Recent Publications" a paper from 1994. Whilst I'm sure it is excellent. I suspect we have had more recent outputs :)
Not a governance expert but I've audited enough Exec Ed. Shareholders elect the board as their oversight of management activities includes that of the CEO and it also ensures separation of powers and lessens chance of Tier 2 and 3 conflicts.

@simonharristd approved the MU plan to replace elections with a scheme where the chief officer appoints the members of its Governing Authority. We await his response to an @ifut letter setting out concerns about governance & democracy, & requesting action.

IFUT Condemns Plans to Remove Election of Staff Member Roles on Maynooth University Governing Authority.
The Irish Federation of University Teachers has condemned the proposed changes put forth by Maynooth University regarding the appointment process for staff members of the Governing Authority.
Speaking yesterday at a meeting of the ICTU Higher and Further Education Group of Unions, IFUT General Secretary Frank Jones said “Regrettably, the senior management of Maynooth University now intends to depart from the longstanding practice of democratic elections for staff representatives on the Governing Authority. Instead, they are seeking to implement a process whereby, with the assistance of a private recruitment firm, they would assume the responsibility of handpicking the staff representatives.
