12 Mart 2023 tarihinde yürürlüğe giren 7440 Sayılı Yapılandırma Kanunu ile girişimciler ve şirket sahipleri için ciddi önem arz eden değişiklikler yapıldı. 45 sayfalık yeni kanunda özellikle vergi düzenlemeleri ile ilgili bir madde yaratabileceği olumsuz etkiler sebebiyle dikkat çekti. Kanun düzenlemesi kapsamında; deprem bölgesindeki işletmeler muaf tutulacak şekilde, 2022 yılına ilişkin kurumlar vergisi beyannamelerinde geçerli olmak üzere girişimlere istisna ve indirim tutarları üzerinden bir defalık  ek vergi getirildi. Bu ilk bakışta çok negatif bir madde gibi görünmese de derin problemlere yol açma potansiyeline sahip. Problemin kaynağı ise ek vergiye tabi tutulacak istisnalar arasında yer alan Emisyon Primi. Yerli girişimler, aldıkları yatırımlarda kurucuların ve önceki yatırımcıların hisselerinin değeri erimesin diye özsermayeye yatırılan tutar ile emisyon primine yatırılan tutarı birbirinden farklı tutuyor. 500 bin dolar yatırım alan bir girişim, genellikle elindeki paranın 100 bin dolarını sermayeye geriye kalan 400 bin dolarını ise emisyon primine koyuyor. Bu düzenleme ile de aslında girişimlerin runway’lerini planladıkları paranın bir kısmının bir anda ortadan kaybolması anlamına geliyor. Henüz bir gelişme bulunmasa da girişimciler karardan geri dönülmesini bekliyor.
