Voi Council Proposal
Title โ Voi Ecosystem Executive Branch Sustainability

Description โ The Voi Network and Voi Foundation governance model currently utilizes the Voi Constitution with three branches to handle policy,
$VOI token distribution and procedures โ Legislative (Voi Council), Judicial (Block Authority) and Executive/President (Glenn Kennedy located in Cayman). The Voi Foundation is a Cayman entity. The Cayman formation and executive appointment was a deliberate legal protection due to the regulatory landscape in the United States. The Executive/President implements its duties (i.e. grant approvals, token distributions, etc.) for 20 years commencing from the genesis of Voi Network Mainnet. Due to significant changes in the regulatory landscape in the United States, the maturity of the Voi Network ecosystem and the willingness of a qualified fiduciary located in the United States to serve as the Executive/President, it is now ripe to repatriate the Voi Foundation to the United States, appoint a United States citizen as the Executive/President and establish the compensation of the Executive/President in
$VOI by the Voi Foundation. Upon completion of the implementation of the Proposal, all three branches of the Voi governance model will be compensated in
$VOI (Voi Council allocation recently approved, Block Authority $1 contract and Executive is addressed herein). Due to the significant remaining treasury held by the Voi Foundation and the finalized/approved allocations for governance implementation, the Voi Foundation and ecosystem governance in all likelihood ensures sustainability for the full 20 year
$VOI distribution scheme from 2024-2044.
The key items for this Proposal are as follows โ
1. Transfer Voi Foundation incorporation to Wyoming, United States.
2. Appoint Scotty as the initial United States Voi Foundation President.
3. Establish President compensation.
Transfer of Voi Foundation โ Block Authority will handle the legal process to transfer the Voi Foundation from Cayman to Wyoming. Block Authority, as with all Voi Foundation expenses, will pay for the out of pocket expenses and add to the approved grid note expenses between the Voi Foundation and Block Authority.
Appointment of Scotty as Executive/President โ Due to his experience designing the grant and policy processes for the Voi Foundation with Block Authority and his United States citizenship, Scotty is an ideal candidate to serve as the Executive/President for the Voi Foundation.
President Compensation โ The Voi Foundation distribution of the initial allocation of 7.5 billion
$VOI is set to expire in September, 2044. To adequately compensate the President for time and fiduciary responsibility in line with the Voi Council members, the proposed compensation for the President is 1 million
$VOI per month. This compensation model equates to 12 million
$VOI per year with a total allocation of 220 million
$VOI (approximately depending upon the date of implementation).
Sustainability โ The primary driver for this Proposal is Voi Foundation and governance sustainability. By simplifying the Voi Foundation legal structure, appointing an executive with significant experience and engagement with the Voi Network and Voi Foundation governance and establishing a
$VOI compensation model, passage of this Proposal will significantly enhance the sustainability of the Voi Foundation and its governance model.
