I have once again increased my holding in QBIM, moving from a previous 6.83% to 7.82% of the company’s outstanding shares. Looking ahead, the company’s prospects are significantly stronger than what the market currently appears to be pricing in. With a very high conversion rate and a growing pipeline of 1,000 licenses and 80 customers, expanding week by week, I expect a rapid ramp-up in QSALES license deployments, a transition to positive cash flow, and earnings growth that is anything but linear. Bra fråga. Jag såg kopplingen till SpectrumOne som en tydlig risk när jag gjorde min DD, och det var absolut en nackdel. Men jag valde att fokusera på Qbim som ett separat bolag med egen affärsmodell och potential. En annan positiv faktor var att ingen av ägarna fick gratsaktier.

Detta är en speciell situation där SpectrumOne ska genomföra en ägarspridning av Qbim till sina befintliga ägare, till ett bokfört värde om 13,1 MSEK. Det innebär i praktiken en överföring från SpectrumOnes balansräkning till en börsplats. Dagen innan noteringen ska Qbim genomföra en riktad emission till SpectrumOne, där SpectrumOne tillför Qbim 10 MSEK för att säkerställa att bolaget har tillräckligt med rörelsekapital under det första året, vilket är ett krav för att vara noterad. Sedan tidigare har SpectrumOne satt upp villkoret att de ska tillföra cirka 10 MSEK och högst äga 30% av aktierna i Qbim. Detta innebär att det redan finns ett värderingsgolv i Qbim på 23,6 MSEK. Vår värdering är därför baserad på villkoren om att SpectrumOne enbart får äga högst 30% av aktierna i Qbim och vår konservativa tolkning till Qbims interna målsättning.
