Loved the #4 , for #7 I would have preferred the LTIP milestones be on the bitcoin standard, because as designed now it could reward the management only because of Bitcoin price multiplying and not thanks to the management performance (multiplied sats per share for example would be better), mNAV is driven by market sentiment not by my management.
Maybe you had considered it, but why has it been discarded, and denominated in GBP?

Not feeling good about last operations from Capital B and MetaPlanet as retail investor. I hope I’m wrong…
The gifts to TOBAM/UTXO massively disadvantage existing small shareholders who get none of these benefits:
- Huge value transfer — slashing conversion prices by ~50% (e.g. €6.24 → €3.12) giving free warrants per converted OCA means bondholders receive far more shares than originally agreed. This is a direct wealth transfer from existing shareholders to institutional bondholders.
- Increased immediate & future dilution — more shares issued on conversion up to 27 million additional BSA (warrants) that can be exercised later, even at the mNAV 1.1 floor. Small shareholders bear almost all of this dilution without any compensation.
- No upside participation for retail — TOBAM/UTXO get deeply discounted conversion free high-convexity warrants. Existing shareholders get nothing equivalent; we only hope indirect “BTC per FD share” accretion materializes someday.
- Asymmetric risk — if BTC stalls or the stock stays low (currently ~€0.75 vs new strikes €1.83–€3.12), conversions & warrant exercises may not happen → we still gave away massive optionality for free, cleaned up their debt cheaply, but without real BTC accretion for us.
In short: retail shareholders subsidize institutional investors’ convexity and downside protection, while carrying most of the dilution risk. The “accretive long-term” story only works perfectly if everything goes extremely well — otherwise it’s just another dilutive sweetheart deal for the big players.
