@kshaughnessy2 there is a BIG case on appeal to the Second Circuit Court of Appeals in NY that addresses the private right of a Pubco to sue a toxic lender for its violation of the dealer registration requirement - notwithstanding the policy decision by the SEC to back off these cases - the First, Fifth and Eleventh Circuits already decided that the toxic lending structure of these fundings, coupled with the funders business of buying and selling securities - violates the Securities Act. The policy decision by the SEC to back off enforcement may or may not have a direct effect on the issuers ability to get rid of the securities aspect of these transactions (the conversion discounts).
