@IntersectMBO member, I am currently seeking legal advice regarding member rights under the Wyoming Nonprofit Corporation Act and Intersect’s governing documents.
More than 12 months ago, I requested access to the Intersect members register (as permitted under the Act) for the purpose of contacting other members and seeking support to call a Special Members Meeting. Despite multiple follow-ups, I have not been provided access to that register.
My intention was to call a Special Members Meeting to consider a member resolution regarding the purpose of Intersect, its role within the
#Cardano ecosystem, and how the organisation should operate in the future.
I am also concerned that the 2025 Annual Members Meeting may not have been conducted in accordance with Intersect’s Bylaws. In particular, I question whether members were provided a properly constituted meeting with a fixed meeting time, an opportunity to discuss the business and affairs of the corporation, and the ability to raise and vote on resolutions.
There have also been allegations that some members may have had their membership suspended without the due process required under the Intersect Bylaws. Article II, Section 8 provides that the Board may suspend or expel a member for cause only after an appropriate hearing and not less than 15 days’ written notice to the member.
If these allegations are accurate, this raises serious governance concerns and may itself warrant a Special Members Meeting so the Board can respond directly to members.
This is not about individuals. It is about governance, accountability, transparency, and ensuring that a member-based organisation operates in accordance with its governing documents and applicable law.
Member-based organisations derive their legitimacy from their members. Meaningful member participation requires more than membership fees and annual updates - it requires enforceable rights, transparency, and accountability.
